Terms of Service

These Terms of Service (“Terms”) govern your access to and use of form55.ca and the Form55 platform (the “Service”), operated by Hunter Paish, a sole proprietor based in Vernon, British Columbia, Canada (“Form55,” “we,” “us,” “our”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Form55 aggregates and presents publicly available data — insider trading filings (SEDI), federal and provincial lobbying registrations, government procurement contracts, NI 43-101 technical report disclosures, market prices, and related public-record sources — for TSX and TSX Venture listed companies. Form55 applies a proprietary scoring methodology to this data to produce composite “signal scores,” rankings, watchlists, and written commentary, which are made available to users on a free and paid subscription basis.

Form55 is not a registered investment advisor, portfolio manager, broker-dealer, or financial institution under the securities legislation of any Canadian province or territory, or under the laws of any other jurisdiction. Nothing on the Service — including signal scores, rankings, watchlists, alerts, reports, or any written or visual content — constitutes a recommendation, solicitation, or offer to buy, sell, or hold any security, or advice regarding the suitability, value, or advisability of any investment or trading strategy.

All content is provided for general informational and educational purposes only and reflects the mechanical output of a scoring methodology applied to public-record data. It does not take into account your individual financial situation, objectives, or risk tolerance. Before making any investment decision, you should consult a registered investment advisor, broker, or other qualified financial professional licensed in your jurisdiction. Past performance — including any track record, backtest, or historical signal statistics shown on the Service — is not indicative of future results.

• You must be at least 18 years old and capable of forming a binding contract to create an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to provide accurate information at signup and to notify us promptly of any unauthorised use of your account.

• Form55 offers a free tier and a paid “Signal Analyst” tier (CAD $29/month or CAD $249/year), which may include a 7-day free trial. Pricing and plan features are described on the Pricing page.
• Paid subscriptions are billed in advance on a recurring basis and processed by Stripe, our third-party payment processor. By subscribing, you authorise Form55 to charge your payment method on each billing cycle until you cancel.
• If you start a free trial and do not cancel before it ends, your payment method will be charged automatically for the plan you selected.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. Except where required by applicable law, fees already paid are non-refundable, including for partial billing periods.
• We may change subscription pricing on a going-forward basis. We will provide at least 14 days’ notice of any price increase by email before it applies to your next billing cycle.

You agree not to:

• Scrape, crawl, or use automated means to extract data, signal scores, or other content from the Service, except through an API key issued by us and subject to its rate limits;
• Republish, resell, redistribute, or sublicense Form55’s signal scores, rankings, reports, or underlying datasets to any third party without our prior written consent;
• Reverse engineer, decompile, or attempt to derive the source code or underlying scoring methodology of the Service, beyond the general description published on the Methodology page;
• Share your account credentials or API key with, or provide access to the Service on behalf of, any other person or entity, except as permitted by your subscription plan;
• Use the Service for any unlawful purpose, or in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of it; or
• Misrepresent your identity or affiliation, or use the Service to impersonate any person or entity.

We may suspend or terminate accounts that violate this section, with or without notice.

The Service, including its design, scoring methodology, software, text, graphics, logos, and compilation of data (but excluding the underlying public-record data itself, which remains in the public domain), is owned by Form55 or its licensors and is protected by copyright and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your personal, non-commercial use.

The Service relies on data sourced from third parties and government registries, including SEDI, the Office of the Commissioner of Lobbying of Canada (OCL), CanadaBuys and provincial procurement portals, SEDAR+, TMX/TSX market data, and other public sources (see Methodology for details). These sources may contain errors, omissions, or delays that are outside our control, and may be updated, corrected, or become unavailable at any time. Form55 does not independently verify third-party data and makes no guarantee as to its accuracy, completeness, or timeliness. The Service may also link to or embed content from third-party services (e.g. TradingView), which are governed by their own terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY SIGNAL SCORE, RANKING, OR OTHER OUTPUT OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR PROFITABLE IF ACTED UPON.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FORM55 AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY CONTENT OBTAINED THROUGH IT — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL FORM55’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO FORM55 IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR CAD $100 IF YOU HAVE NOT PAID US ANYTHING.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify and hold harmless Form55 and its owner from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, or if we discontinue the Service. Sections of these Terms that by their nature should survive termination (including sections 2, 6–10, and 12) will survive.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date above. For material changes, we will notify account holders by email at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
